The rules and agreements that govern your use of Cortech Solutions.
Please read these Terms of Service ("Terms") carefully before using the website or services provided by Cortech Solutions ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to all the terms, please do not use our services.
Important: These Terms constitute a legally binding agreement between you and Cortech Solutions. We encourage you to read them fully and contact us with any questions before engaging our services.
1. Acceptance of Terms
By accessing our website at cortechsolutions.org, booking a call, or purchasing any service from Cortech Solutions, you confirm that you:
- Are at least 18 years of age or have the legal authority to enter into contracts.
- Have read, understood, and agreed to these Terms of Service.
- Have read and agreed to our Privacy Policy.
- Have the authority to bind any organization you represent to these Terms.
2. Services Provided
Cortech Solutions provides marketing automation, CRM setup, sales funnel development, and related digital services ("Services") as described on our website and in individual service agreements. Specific deliverables, timelines, and scope are confirmed per project in a separate proposal or statement of work.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to active clients.
3. Client Responsibilities
To allow us to deliver our Services effectively, you agree to:
- Provide accurate, complete, and timely information, content, and access credentials necessary for project completion.
- Respond to requests for feedback, approvals, and content within the agreed timelines.
- Ensure you have the legal right to use any content, trademarks, or materials you provide to us.
- Not use our Services for any unlawful, deceptive, or unethical purpose.
- Maintain the confidentiality of any login credentials provided for shared platforms.
Delays caused by failure to provide required materials or approvals on time may result in project timeline extensions and are not grounds for refund.
4. Payment Terms
The following payment terms apply to all engagements with Cortech Solutions:
- Upfront Payment: Most services require full or partial payment before work begins, as specified in your service agreement.
- Accepted Methods: We accept payments via bank transfer, PayPal, credit/debit card, and other methods specified at checkout.
- Late Payments: Invoices unpaid beyond 14 days may result in suspension of work. A late fee of 2% per month may be applied.
- Currency: Unless otherwise agreed, all prices are listed and charged in US Dollars (USD).
- Taxes: You are responsible for any applicable taxes in your jurisdiction.
5. Refund Policy
Due to the custom and time-intensive nature of our services, we have a limited refund policy:
- Before Work Begins: A full refund may be issued if you cancel within 48 hours of payment and before any work has commenced.
- After Work Begins: No refund will be issued once a project has started. Partial refunds may be considered at our discretion based on the percentage of work completed.
- Subscription Services: Monthly retainers may be cancelled with 30 days' written notice. No prorated refunds are provided for partial months.
- Digital Products & Templates: All sales of digital products are final and non-refundable due to their instant-delivery nature.

6. Intellectual Property
Unless otherwise agreed in writing:
- Client Ownership: Upon full payment, you own the final deliverables (funnels, CRM configurations, automations, copy) created specifically for your project.
- Our IP: We retain ownership of our proprietary processes, templates, frameworks, tools, and methodologies used in delivering our services. These are licensed to you, not sold.
- Portfolio Rights: We reserve the right to showcase completed work in our portfolio and marketing materials unless you request confidentiality in writing.
- Third-Party Tools: Software platforms (e.g., GoHighLevel) are governed by their own terms of service and remain the property of their respective owners.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including business strategies, client lists, financial data, and technical systems. This obligation survives the termination of our agreement.
We will not disclose your confidential information to third parties without your prior written consent, except as required by law or to service providers bound by equivalent confidentiality obligations.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Cortech Solutions and its team members shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
- Loss of revenue, profits, data, or business opportunities resulting from service interruptions or errors.
- Results of marketing campaigns, including conversion rates, leads generated, or sales outcomes, as these depend on many factors beyond our control.
- Actions or omissions of third-party platforms (e.g., GoHighLevel, payment processors, email providers).
Our total aggregate liability for any claim arising from or related to our services shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
9. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee specific business outcomes such as revenue growth, lead generation numbers, or return on investment. Marketing and automation results vary based on your industry, offer, market conditions, and execution.
10. Termination
Either party may terminate the service agreement:
- With 30 days' written notice for ongoing retainer agreements.
- Immediately if the other party materially breaches these Terms and fails to remedy the breach within 10 days of written notice.
- Immediately by us if you engage in any illegal, abusive, or unethical conduct.
Upon termination, all outstanding invoices become immediately due. Deliverables completed and paid for will be transferred to you. Work in progress may not be delivered if outstanding payments exist.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
In the event of any dispute arising from these Terms or our services, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with Philippine arbitration rules before pursuing court action.
12. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated to active clients via email. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
